Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Halo Guest mobile application (the "App") provided by Halo Guest ("we", "us", "our"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
1. What Halo Guest is
Halo Guest is a companion app for guests at hotels, restaurants, cafés, and bars that use the Halo hospitality platform. You scan a QR code at a participating venue, and the App lets you browse the menu, place orders, request services, pay, and chat with a venue-trained AI assistant or live staff.
We are a technology platform. Food, drink, accommodation, and other services are provided by the venue, not by us. Your transaction for those goods and services is between you and the venue.
2. Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, whichever is higher) to use the App. By using the App, you represent that you meet this requirement and that you have legal capacity to enter into these Terms.
3. Your account & session
Halo Guest does not require you to create a traditional account. When you scan a QR code, the App creates a short-lived session tied to your visit. You are responsible for any activity that occurs through that session on your device.
If you provide a display name or other optional information, you must not use false or misleading details, impersonate another person, or use information you are not authorised to use.
4. Orders, payments, and refunds
- When you place an order through the App, you are placing it with the venue. The venue is responsible for preparing, fulfilling, and delivering your order, and for the quality and accuracy of the items.
- Prices, taxes, service charges, and tips are displayed before you confirm. By confirming, you authorise the charge.
- Payments are processed by Stripe. By submitting payment, you agree to Stripe's terms of service.
- Refunds, cancellations, and complaints about goods or services are handled by the venue under its own policies and applicable consumer-protection law. We can help facilitate communication but we are not a party to the underlying transaction.
5. AI assistant
The Halo AI assistant generates responses using machine-learning models and information supplied by the venue. While we work hard to keep answers accurate, AI-generated content can be incomplete, outdated, or wrong. Always confirm critical information (allergies, prices, opening hours, medical or legal matters) with venue staff before relying on it.
6. Acceptable use
You agree not to:
- Use the App in any way that is unlawful, harmful, fraudulent, or deceptive.
- Harass, abuse, or threaten venue staff or other users through chat or any other channel.
- Attempt to gain unauthorised access to the App, our backend, or the systems of any venue.
- Reverse-engineer, decompile, or disassemble the App, except where applicable law expressly permits this.
- Scrape, copy, or redistribute menu content, prices, or other venue data.
- Interfere with the normal operation of the App or the underlying network.
We may suspend or block your access without notice if we reasonably believe you have breached these rules.
7. Intellectual property
The App, including its design, code, branding, and all content we provide, is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable licence to use the App for personal, non-commercial purposes in accordance with these Terms. We reserve all other rights.
Menu content, photos, and other venue-supplied material remain the property of the respective venues.
8. Third-party services
The App relies on third-party services including Stripe (payments), Apple Push Notification Service, and Firebase Cloud Messaging. Your use of these services is also governed by their own terms and privacy policies. We are not responsible for the practices of third-party providers.
9. Disclaimers
The App is provided "as is" and "as available", without warranties of any kind, whether express or implied. To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the App will always be available, uninterrupted, secure, or error-free, or that defects will be corrected. Venues are responsible for the goods and services they provide; we do not warrant their quality, safety, or suitability.
10. Limitation of liability
To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity arising out of or in connection with your use of the App.
Our total aggregate liability for any claim arising out of or relating to the App will not exceed the greater of (a) the amount you paid to us (excluding amounts paid to venues) in the twelve months before the claim, or (b) USD 50.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, liability for death or personal injury caused by negligence, or for fraud).
11. Indemnity
You agree to defend, indemnify, and hold us harmless from any claims, damages, costs, or expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the App.
12. Changes to the App or these Terms
We may update the App, add or remove features, or change these Terms at any time. If changes to these Terms are material, we will notify you in the App or via a notice at the top of this page before they take effect. Continued use of the App after the effective date constitutes acceptance of the updated Terms.
13. Termination
You may stop using the App at any time by uninstalling it. We may suspend or terminate your access to the App at any time, with or without cause and with or without notice. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, governing law) will survive.
14. Governing law
These Terms are governed by the laws of the jurisdiction in which Halo Guest is established, without regard to its conflict-of-laws principles. To the extent permitted by law, you agree that any dispute arising out of or relating to these Terms or the App will be resolved exclusively in the courts of that jurisdiction. Where mandatory consumer-protection law in your country of residence grants you additional rights, those rights are not affected.
